Abstract
The board of directors plays a key role in reducing management risk; because of its fiduciary duties, its prime obligation is to safeguard the interests of the shareholders and, in the event of conflicts of interest between the shareholders and other (legal) entities involved in the fund, its first duty is towards the shareholders.
