Abstract
A premise to the present as well as to following issues is that Italian law accepts the general principle of recognition of the existence of foreign corporations or companies regardless of their type of structure. They may or may not correspond to the type of Italian corporations which acquire legal personality upon registration (see Section 2331, paragraph 1, of the Civil Code for joint-stock corporations and Civil Code Section 2475, paragraph 2 for limited-liability companies). Thus, no authorization from Italian government authorities is required.
