Abstract

The Brazilian securities market is subject to specific legislation which sets forth the basic rules to be observed by the companies seeking to obtain funds in the capital market and also by companies operating in such market. The basic legislation is the following:

  1. a.

    Law No. 4595, of December 31, 1964, which establishes the basic rules governing the financial institutions and created the National Monetary Council;

  2. b.

    Law No. 4728, of July 14, 1965, which establishes the rules governing the capital market and its activities;

  3. c.

    Law No. 6385, of December 7, 1976, which created the Securities Commission (‘Comissão de Valores Mobiliários — CVM’); and

  4. d.

    Law No. 6404, of December 15, 1976, which establishes the basic rules to be observed by corporations in Brazil.
