Abstract
The reform of the Spanish criminal code of 2010 has for the first time expressly established the principle of criminal liability of the legal persons, including penalties directly applicable to them. The Criminal Code currently states that the criminal responsibility of the legal person shall be required when the commission of a crime in its benefit that had to be committed by anyone acting as legal representative and legal or de facto administrator or even as an employee has been proved. This responsibility will also be claimed even if the responsible person has not been individualized or it has not been possible to conduct the proceeding against that person. In the reform of 2010 the traditional system of “accessory consequences” is maintained but, at present, these consequences can only be applied to the entities or associations without legal personality.
