Die Finanzierung von Unternehmensgründungen durch Venture Capital erfolgt in der Regel in Form syndizierter Verträge. Dieser Beitrag thematisiert Thesen zur Erklärung dieser weit verbreiteten Syndizierungspraxis. Mit Syndikat wird eine Gruppe von Individuen bezeichnet, die eine gemeinsame (Investitions-) Entscheidung unter Unsicherheit treffen. Die zukünftigen Einzahlungen aus der Investition werden von den Gruppenmitgliedern gemeinsam untereinander aufgeteilt. Ziel des Beitrags ist es erstens, einen Überblick über die zahlreichen, sehr unterschiedlichen vorhandenen Erklärungsansätze der Literatur zu gewinnen, diese zu systematisieren und um neue, auch empirische Erkenntnisse zu ergänzen. Zweitens sollen erst kürzlich erschienene Arbeiten, die ganz neue Erklärungsansätze verfolgen und eine ganz neue Entwicklungsrichtung der Forschung andeuten, skizziert werden. Im Fokus der neuen Ansätze stehen Vorteile für die Gründer als Vertragspartner des Syndikats. Der Beitrag zeigt, dass dem Thema Syndizierung bisher in der Forschung zu wenig Bedeutung beigemessen und folglich auch zu wenig Beachtung geschenkt wurde.
