Zusammenfassung
Der vorliegende Beitrag versteht sich als Anstoß und konzeptionelle Grundlage für eine – auf längere Sicht zu entwickelnde – Theorie der Governance globaler Geschäftsbeziehungen. Ausgehend von der Territorialität nationaler Rechtssysteme wird eine institutionelle Lücke in grenzüberschreitenden Transaktionen identifiziert, die einen Mangel an staatlich garantierter Rechtssicherheit für ökonomische Akteure mit sich bringt.Fehlende Rechtssicherheit stellt für Unternehmen in komplexen globalen Geschìftsbeziehungen eine große Herausforderung dar, sind sie doch in besonderem Maße mit Konflikten konfrontiert, die aus unvollstìndigen Vertrìgen sowie kulturell und sprachlich bedingten Missverstìndnissen resultieren. Es wird die Frage nach der Reduktion von Transaktionsunsicherheit in solchen Geschìftsbeziehungen aufgeworfen. Aufbauend auf den sozial- und erkenntnistheoretischen Grundlagen der Grounded Theory-Methode nach Strauss und Corbin und unter Berücksichtigung bestehender Ansìtze aus dem Bereich der Ökonomie sowie der Wirtschafts- und Rechtssoziologie erfolgt die Entwicklung eines konzeptionellen Rasters zur Analyse von Regelsystemen in globalen Geschìftsbeziehungen. Anhand des empirischen Beispiels globaler Softwareentwicklungsprojekte wird das heuristische Potenzial des Analyserahmens verdeutlicht und aufgezeigt, dass die Reduktion von Transaktionsunsicherheit in globalen Transaktionen nur durch ein komplexes Zusammenspiel multipler Governance-Mechanismen mÖglich ist. Daraus wird die Notwendigkeit abgeleitet, dass zukünftige Theorieentwicklung, die dieser Beitrag anzustoßen versucht, bei den Beziehungen zwischen Regelsystemen ansetzen sollte.
Abstract
This paper is a first step towards and a conceptual foundation to a theory of governance of global business relationships. In the case of cross-border transactions, economic actors face transactional uncertainty due to an institutional gap stemming from the territorial confines of national legal systems. Restricted legal certainty challenges companies in complex global relationships due to conflicts in connection with incomplete contracts as well as cultural and linguistic misunderstandings. The paper raises the research question of how to reduce transactional uncertainty in such settings. Based on the methodology of grounded theory according to Strauss and Corbin, and by considering approaches from economics as well as legal and economic sociology, a conceptual frame for analyzing systems of rules in global business relationships is developed. The paper demonstrates the heuristic potential of this analytical frame by means of empirical research conducted in global software development projects. A core finding is that reducing transactional uncertainty in global transactions is only possible in the case of complex interplay between multiple governance mechanisms. It is stated that future theory development to be triggered by this paper should focus on the relationships between the systems of rules.
