Abstract
In organization theory, it is widely accepted that organizations are imprinted by the institutional environment present at their founding. We follow this general argument and apply imprinting theory to research on corporate governance. In our study, we focus on the effect the institutional founding conditions of a corporation have on its deviation from the German Corporate Governance Code between 2002 and 2008. Our results show that corporations differ strongly in their degree of compliance, depending on the institutional environment at the time of their founding. More specifically, these differences are not distributed randomly, but follow a strong pattern (i.e. compliance is affected by the governance policy prevalent at the time of organizational founding).
