Zusammenfassung

W ist der Komplementär, X und Y sind die Kommanditisten der W-Schmuckhandels-KG. X und Y haben ihre eine Einlage von jeweils 100.000 € voll erbracht. Nach dem Gesellschaftsvertrag soll W nur gemeinsam mit X zur Vertretung der Gesellschaft berechtigt sein. Als die W-KG Kapital benötigt, beschließen die Gesellschafter, Z als neuen Kommanditisten in die Gesellschaft aufzunehmen.
