Zusammenfassung
Mit Hilfe von Finanzierungstiteln lassen sich die aus den Investitionen der Unternehmen resultierenden Risiken transformieren und auf die Kapitalanleger gemäß ihren individuellen Präferenzen verteilen. Dies entspricht einer Betrachtungsweise, die für die Theorie der Finanzmärkte längere Zeit prägend war und sich als sehr fruchtbar erwiesen hat. Dieser theoretische Ansatz liegt auch den Ausführungen in den vorangegangenen Kapiteln VI und VII zugrunde. Damit ist die Problematik der Ungewißheit bei Finanztransaktionen aber nur unzureichend erfaßt. Ungewißheit resultiert nicht nur daraus, daß Investitionen riskant sind, sondern auch aus dem ungleichen Informationsstand der Transaktionspartner. Diese Informationsasymmetrie in Verbindung mit der Vermutung, daß jeder Transaktionspartner sich opportunistisch verhält, das heißt ausschließlich auf seinen eigenen Vorteil bedacht ist, hat zur Folge, daß jeder damit rechnen muß, aufgrund eines schlechten Informationsstandes übervorteilt zu werden. Das hat weitreichende Konsequenzen für das Zustandekommen von Transaktionen und für die vertragliche Ausgestaltung. Dies gilt für Finanztransaktionen in besonderem Maße. Rational handelnde Transaktionspartner werden stets mitbedenken, welche Verhaltensweisen mit einer bestimmten Vertragsgestaltung verbunden sind und wie man den damit verbundenen Schädigungen begegnen kann.
