Die Gesellschafter entscheiden durch Beschlussfassung über alle Angelegenheiten der Unternehmergesellschaft, von einer Einzelweisung an den Geschäftsführer bis hin zu Änderungen des Gesellschaftsvertrages. Das ist für folgende Vorgänge zwingend vorgeschrieben:

Die Einforderung von Nachschüssen
Änderungen des Gesellschaftsvertrages
Umwandlung der GmbH in eine andere Rechtsform
Verschmelzung der GmbH mit einem anderen Unternehmen
Auflösung der Gesellschaft
