Zusammenfassung
Eine zentrale Aufgabe der Corporate Governance besteht darin, eine Kontrolle der Unternehmensleitung durch die verschiedenen Interessengruppen des Unternehmens zu ermöglichen. Theoretische Modellierungen zeigen, dass die konkrete Gestaltung von Corporate Governance Systemen je nach gewünschtem und gewährtem Mitspracherecht der Interessensgruppen variiert. Im internationalen Vergleich wird diese Tatsache insbesondere bei der Betrachtung der Corporate Governance Systeme der USA, Deutschlands und Japans deutlich. Historische und kulturelle Gegebenheiten haben unterschiedliche Wertvorstellungen entstehen lassen, die — gemeinsam mit dem sie reflektierenden Corporate Governance System — im Zuge der Globalisierung auf den Prüfstand gestellt werden.
