Zusammenfassung

Wie die Untersuchung der Corporate Governance auf Veränderungen gezeigt hat, wandeln sich derzeit gewisse Elemente der Corporate Governance in mittelständischen Unternehmen — auch wenn dies nur langsam vonstatten geht. Dies wird dabei vor allem durch externe Katalysatoren vorangetrieben. Die Frage, die nachfolgend erarbeitet werden soll, ist, wie eine besonders gute Corporate Governance eines mittelständischen Unternehmens vor dem Hintergrund der internen und externen Herausforderungen gestaltet werden sollte. Im Folgenden gilt es deshalb, Handlungsempfehlungen oder einen sog. “Code of best practice” für den traditionellen Mittelstand hinsichtlich seiner Corporate Governance zu erarbeiten. Denn insbesondere wenn die Unternehmen die (Außen-)Finanzierung weiterhin sicherstellen und damit Vorsorge für das langfristige Überleben des Unternehmens treffen wollen, müssen sie sich intensiv mit ihrer Corporate Governance beschäftigen.
