Zusammenfassung
Bislang sind ausschließlich rein finanztheoretische Aspekte bei der Ableitung der Kapitalkostenvariationen internationaler Unternehmensakquisitionen behandelt worden. Dabei wurde implizit davon ausgegangen, daß die übernehmende MNU dem Akquisitionsobjekt gegenüber lediglich die Funktion einer Holdingcompany ausübt, die in die Dispositionen des laufenden Geschäftsbetriebes nicht eingreift. Tatsächlich bildet die Ausübung der neu erworbenen wirtschaftlichen Verfügungsmacht ein wesentliches, die Unternehmensakquisition von der Portfolioinvestition abgrenzendes Merkmal144 . Dadurch entsteht die Notwendigkeit, die Übernahme einem weitergehenden analytischen Rahmen zu unterwerfen.
