Zusammenfassung
Die Gestaltung des deutschen Unternehmensüberwachungssystems ist seit einigen Jahren Gegenstand einer intensiven Reformdiskussion. Mit der wachsenden Bedeutung der internationalen Kapitalmärkte für die Finanzierung deutscher Aktiengesellschaften ist der Shareholder-Value-Gedanke auch in hiesige Vorstandsetagen getragen worden. Die zentrale Frage, die sich in diesem Zusammenhang für die regulierenden Instanzen stellt, ist, inwieweit der Reformprozeß der Selbstregulierung des Marktes überlassen werden sollte oder einer Anpassung der institutionellen Rahmenbedingungen bedarf. Spezifische Vorschläge zielen auf die Regulierung der Bankenmacht und die Neudefinition der Aufsichtsratstätigkeit ab.2 Kritiker des deutschen Unternehmensüberwachungssystems verweisen in diesem Zusammenhang gerne auf das U.S.-amerikanische Modell, das mit augenscheinlich größerem Erfolg die unternehmerischen Entscheidungsprozesse auf die Maximierung des Shareholder-Value ausrichtet.
