Zusammenfassung

Das Unternehmensrecht läßt sich in zwei große Bereiche unterteilen, die jeweils durch die Summe verschiedener Normen geprägt werden. Der erste Bereich umfaßt die Organisation und Willensbildung im Unternehmen sowie ihre Kontakte nach außen im Sinne der Begründung von Rechten und Pflichten, Haftung und Verantwortung (Unternehmens- verfassung). Der zweite Bereich bestimmt das Verhalten der Unternehmung im Außenverhältnis. Dazu gehören die Regeln des lauteren Wettbewerbs, die Berufsfreiheit und das Kartellrecht, zum Teil aber auch das Steuerrecht dort, wo es das Unternehmensverhalten in bestimmter Weise stimulieren will und soll (Unternehmensverhaltensrecht).2
