Abstract
Appendix C contains the comments of the Commissioner of the SEC, presented and made a part of the public record at the hearing adopting the new rules for Regulation A. These give valuable insights into the history of Regulation A, the issues the SEC sought to address and how the SEC views balancing the priorities of facilitating the marketplace with investor protection.
