Abstract

The directors of the Oracle Group of companies are having their weekly board meeting at their headquarters in London. The Chairman of the holding company, Frank McKellan, will shortly be facing the shareholders at the Annual General Meeting and wishes to clear up a number of outstanding matters before that time. The agenda includes the following items and you are invited to work through these, playing the role of the directors at the meeting. Consider the various implications and reach decisions such as might be made by the board — on the evidence provided here. Use normal boardroom procedures as far as possible. Resolutions should be formally proposed and seconded. There should be adequate discussion under the control of the Chairman and then a vote should be taken (each director being entitled to one vote with the Chairman having the casting vote). One member of the group should play the role of the company secretary and record the resolutions and the decisions reached by the board.
